Ownership of Site Agreement to Terms of Use

These Terms and Conditions of Use (“Terms of Use”) apply to the Space42 website located at www.space42.ai, as well as all associated sites linked to www.space42.ai by Space42, its subsidiaries and affiliates, including Space42 sites worldwide (collectively, the “Site”). The Site is owned by Space42 PLC (“Space42”). BY USING THE SITE, YOU AGREE TO THESE TERMS OF USE; IF YOU DO NOT AGREE WITH THESE TERMS OF USE, YOU MUST LEAVE THE SITE IMMEDIATELY.

Space42 reserves the right, at its sole discretion, to change, modify, add, or remove portions of these Terms of Use at any time. It is your responsibility to periodically review these Terms of Use for any changes. Your continued use of the Site following the posting of changes signifies your acceptance and agreement to those changes. As long as you comply with these Terms of Use, Space42 grants you a personal, non-exclusive, non-transferable, limited privilege to access and use the Site.

Content

All text, graphics, user interfaces, visual interfaces, photographs, trademarks, logos, sounds, music, artwork, computer code, audio clips, digital downloads, data compilations, and software (collectively, “Content”) on the Site are owned, controlled, or licensed by Space42. This Content, including but not limited to its design, structure, selection, coordination, expression, “look and feel,” and arrangement, is protected by trade dress, copyright, patent, trademark laws, and other intellectual property and unfair competition laws.

Except as explicitly stated in these Terms of Use, no part of the Site or its Content may be copied, reproduced, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, or distributed in any way (including “mirroring”) to any other computer, server, website, or other medium for publication or distribution, or for any commercial enterprise, without Space42’s express prior written consent.

You may use information on Space42 products and services (such as data sheets, knowledge base articles, and similar materials) purposely made available by Space42 for downloading from the Site, provided that you (1) do not remove any proprietary notice language in all copies of such documents, (2) use such information only for your personal, non-commercial informational purposes and do not copy or post such information on any networked computer or broadcast it in any media, (3) make no modifications to any such information, and (4) do not make any additional representations or warranties relating to such documents.

Your Use of the Site

You are prohibited from using any automated or manual processes to access, acquire, copy, or monitor any part of the Site or its Content, or to bypass the Site’s navigational structure. Unauthorized attempts to access any part of the Site, its systems, or networks connected to Space42, such as hacking or password mining, are forbidden. You may not probe, scan, test vulnerabilities, or breach security on the Site.

Actions that impose unreasonable loads on the Site’s infrastructure or Space42’s networks, interfere with the Site’s operations or transactions, or manipulate message origins are not allowed. Impersonation or misrepresentation is prohibited. The Site and its Content must not be used for unlawful purposes or to solicit illegal activities that infringe on Space42’s or others’ rights.

Privacy

Additionally, by using the Site, you acknowledge and agree that Internet transmissions are never completely private or secure. You understand that any message or information you send to the Site may be read or intercepted by others, even if there is a special notice that a particular transmission (for example, credit card information) is encrypted.

This Site may contain links to other independent third-party Web sites ("Linked Sites"). These Linked Sites are provided solely as a convenience to our visitors. Such Linked Sites are not under Space42’s control, and Space42 is not responsible for and does not endorse the content of such Linked Sites, including any information or materials contained on such Linked Sites. You will need to make your own independent judgment regarding your interaction with these Linked Sites.

SPACE42 DOES NOT GUARANTEE THAT THE SITE OR ANY CONTENT, SERVICE, OR FEATURE WILL BE ERROR-FREE OR UNINTERRUPTED, THAT DEFECTS WILL BE CORRECTED, OR THAT YOUR USE OF THE SITE WILL YIELD SPECIFIC RESULTS. THE SITE AND ITS CONTENT ARE PROVIDED “AS-IS” AND “AS-AVAILABLE.” ALL INFORMATION ON THE SITE IS SUBJECT TO CHANGE WITHOUT NOTICE. Limitation of Liability

In no event shall Space42 and/or any of its subsidiaries, affiliates, officers or directors, nor any of its agents or any other party involved in creating, producing, or delivering the site or its content, be liable for any special, indirect or consequential damages or any damages whatsoever resulting from loss of use, data or profits, whether in an action of contract, negligence or other tortious action, arising out of or in connection with the use or performance of software, documents, provision of or failure to provide services, or information available from the services.

Indemnity

You agree to indemnify and hold Space42, its officers, directors, shareholders, predecessors, successors in interest, employees, agents, subsidiaries and affiliates, harmless from any demands, loss, liability, claims or expenses (including attorneys’ fees), made against Space42 by any third party due to or arising out of or in connection with your use of the Site.

Violation of These Terms of Use

Space42 may disclose your information, including your identity, if it deems necessary for any investigation or complaint regarding your use of the Site or to protect Space42’s rights or property, or those of its users. Space42 reserves the right to disclose any information required by law, regulation, legal process, or governmental request. Space42 may also share information for fraud protection purposes.

Space42 may preserve and disclose any communication with you if required by law or deemed necessary to comply with legal processes, enforce these Terms of Use, respond to claims, or protect the safety of Space42and its users.

Space42 may terminate your access to the Site without notice if you violate these Terms of Use or other related agreements. Violations are considered unlawful business practices causing irreparable harm to Space42, warranting injunctive or equitable relief in addition to other legal remedies.

Space42 may also terminate your access without notice for reasons including law enforcement requests, self-initiated account deletions, site modifications, or technical issues. If Space42 takes legal action against you for violating these Terms of Use, you agree to pay all associated legal fees and costs. Space42 is not liable for terminating your access due to such violations.

Governing Law Dispute Resolution

You agree that all matters relating to your access to or use of the Site, including all disputes, will be governed by the laws of the United Arab Emirates as applicable in the Emirate of Abu Dhabi, without regard to its choice of law provisions. The courts of competent jurisdiction in the Emirate of Abu Dhabi, United Arab Emirates (excluding ADGM courts) will have exclusive jurisdiction over any and all disputes arising out of, relating to or concerning these Terms of Use and/or the Site or in which these Terms of Use and/or the Site are a material fact.

Additional terms

You may not use, export, or re-export any Content, or any product or service from the Site, in violation of applicable laws and regulations.

If any provision of these Terms of Use is found to be invalid or unenforceable by a competent court, it will be modified or limited to the minimum extent necessary to reflect the original intent, ensuring the remainder of the Terms stay effective. These Terms of Use represent the entire agreement between you and Space42 regarding your use of the Site, superseding all prior agreements. Space42 will not accept counter-offers to these Terms of Use, which are categorically rejected. Space42’s failure to enforce strict compliance with these Terms of Use does not constitute a waiver of any rights.

These Terms of Use do not grant any rights or remedies to third parties. Space42 may provide access to international data, which might include references to products, programs, and services not available in your country. Such references do not imply an intention to offer those products, programs, or services in your country.

Feedback and Information

Any feedback you provide at this site shall be deemed to be non-confidential. Space42 shall be free to use such information on an unrestricted basis.
